These engagements are structured as independent advisory work — legal and strategic counsel on how AI is being used, where it creates risk, and what governance structures are appropriate given your organization's size, industry, and risk profile. The work product is analysis, documentation, and defensible recommendations. No software is being sold. No implementation partners receive referral fees.

Monthly Retainer — Sustained Counsel as the Landscape Evolves

AI governance is not a one-time exercise. Regulatory requirements are shifting, vendors are updating their terms, and new tools are being adopted continuously. A monthly retainer provides ongoing access to senior counsel without the friction of a new engagement each time a question arises.

What the Retainer Covers

  • Standing availability for AI-related questions and quick reviews
  • Monitoring of relevant regulatory developments (federal, state, industry)
  • Quarterly governance check-in and update memo
  • Review of new vendor agreements or tool adoptions (up to 2/month)
  • Policy updates as your operations or regulatory environment change
  • Priority response time on new matters (48-hour acknowledgment)

Retainers require a minimum three-month initial term. Hours exceeding the retainer scope are billed at the discounted advisory rate noted below. Unused retainer hours do not roll over.


For Matters Outside Fixed-Fee Scope

Work that falls outside the scope of a fixed-fee engagement or that arises during an active matter is billed at the applicable hourly rate. Estimates are provided before work begins.


Scope & Structure

  • All fixed-fee engagements begin with a scoping call (no charge) and an engagement letter defining deliverables, timeline, and fee
  • Fixed fees assume one client contact and one round of written comments on deliverables; additional revision rounds are billed hourly
  • Work product is delivered to the client; no resale or sharing rights are granted without written authorization
  • All engagements are subject to a conflicts check before acceptance

Billing & Payment

  • Fixed-fee engagements are billed 50% on engagement, 50% on delivery of final work product
  • Retainers are billed monthly in advance
  • Invoices are due within 15 days of issuance
  • Rates are subject to adjustment with 30 days' written notice for matters extending beyond 12 months
  • Travel, third-party research fees, and filing costs are billed at cost as a pass-through
